REGISTRATION OF THE AMENDMENT TO THE COMPANY STATUTES

The Management Board of Polenergia S.A. (the “Issuer“) notifies that on 16 June 2025, the District Court for the Capital City  of Warsaw, XII Economic Department of the National Court Register (the“Court“), registered the amendment to the Issuer’s Statutes made pursuant to Resolution No. 30/2025 of the Ordinary General Meeting of 23 April 2025.

Attached:

• the wording of the amended and new provisions of the Statutes,
• consolidated text of the Statutes taking into account the amendments.

legal basis: § 5 item 2 of the Minister of Finance’s Regulation dated 29 March 2018 on current and periodic information to be published by issuers of securities and conditions for recognition as equivalent of information required under the laws of a non-member state (i.e.) OJ PL of 2018 item 757 as amended)
