CONCLUSION OF A FACILITY AGREEMENT BY A SUBSIDIARY

The Management Board of Polenergia S.A. (the “Issuer“) hereby notifies that on 27 June 2025, the Issuer’s subsidiary Amon sp. z o.o., which operates the  Łukaszów wind farm project with a total capacity of 34 MW, as borrower (the “Borrower“) and Pekao S.A., as lender (the “Lender“), entered into a facility agreement (the “Facility Agreement“).

Under the Facility Agreement, the Lender will provide the Borrower with:

• term loan, designed to (i) refinance existing debt; (ii) distribute cash to the Issuer, with the possibility of increasing the Lender’s exposure;
• DSR loan;

up to a total commitment of PLN 117,000,000.00. Amon’s current debt balance under the existing facility agreement is approximately PLN 14,000,000.00.

In connection with the Facility Agreement, the Borrower and the Issuer are required to conclude a standard security package used in project finance type transactions. The Borrower filed, without limitation, a statement of submission to execution and established a registered pledge on a set of movables and rights, while the Issuer established a registered pledge and a financial pledge on shares in the Borrower and filed statements of submission to execution.

The loans are due for repayment on 30 May 2035.

The terms of the Facility Agreement, including those relating to collateral, events of breach, mobilization of financing and termination of the Facility Agreement, are in line with those used in this type of transaction.
