Polenergia reports the actions of a minority shareholder to public administration bodies and services

Several circumstances raise doubts about its intentions: the entity that acquired the shares was registered in August 2025 as a closed-end investment fund, acquired a relatively small stake on September 8th, and a few days later sent the company a comprehensive set of questions, exercising its minority shareholder rights, which Polenergia fully respected. The questions concern events from many years ago, and their treatment is speculative and insinuating in nature. This pattern of action casts doubt on the investment objective of the involvement; the true motives of Forum 123 FIZ remain unknown to Polenergia at this time.

Since the questions raised may harm the interests of the company and its shareholders, Polenergia S.A. has notified the relevant public administration authorities and relevant services of a potential violation of the law. The Company’s Management Board will resolutely counteract any manifestations of corporate blackmail and will take all legally mandated actions aimed at the absolute elimination of pathological market practices.

In cooperation with a Norwegian partner, Polenergia is currently implementing some of the most important projects of the Polish energy transformation: the Bałtyk 2 and Bałtyk 3 offshore wind farms, with a total value of over PLN 27 billion. At the same time, it is preparing the project for another offshore wind farm, Bałtyk 1, for auction. The significance of these three projects is strategic: they strengthen energy security and sovereignty, contribute to lower energy costs for the economy, and help build a new segment of the economy around offshore wind farms.

Due to legal action taken, Polenergia S.A. will not provide further information at this stage.
