Announcement on the publication of the merger plan

In connection with the planned merger of Polenergia Obrót S.A. with its registered office in Warsaw (address: ul. Krucza 24/26, 00-526 Warsaw), entered into the register of entrepreneurs of the National Court Register by the District Court for the Capital City of Warsaw in Warsaw, 12^th Commercial Division of the National Court Register under the KRS no. 0000043658, NIP: 5262098617, REGON: 012789596, share capital: 15,102,069.00, paid in full (the “Acquiring Company”) with Polenergia Sprzedaż sp. z o.o. with its registered office in Warsaw (address: ul. Krucza 24/26, 00-526 Warsaw), entered into the register of entrepreneurs of the National Court Register by the District Court for the Capital City of Warsaw in Warsaw, 12^th Commercial Division of the National Court Register under the KRS no. 0000843521, NIP: 7010985596, REGON: 386199637, share capital: PLN 10,000,000.00 (the “Target Company”), the Management Boards of both merging companies, acting pursuant to Article 498 of the Act of 15 September 2000 – the Commercial Companies Code (i.e. Journal of Laws 2024, item 18, as amended) (the “CCC”) on 30 July 2025 agreed and signed a merger plan (the “Merger Plan”).

Accordingly, pursuant to Article 500 § 2 and 2¹ of the CCC, the Merger Plan and its appendices are hereby made available to the public.

The Management Boards of the merging companies inform that pursuant to Article 500 § 2 and 2¹ of the CCC the Merger Plan shall be made available on the websites of the Acquiring Company and the Target Company free of charge and continuously for at least one month prior to the date of the General Meeting of the Acquiring Company and the Shareholders’ Meeting of the Target Company at which the resolutions on the merger are to be adopted.
