CONCLUSION OF EPC AGREEMENTS FOR THE SZPROTAWA I AND SZPROTAWA II PHOTOVOLTAIC FARM PROJECTS

The Management Board of the company under the name Polenergia S.A. (the “Issuer”) hereby informs that on December 27, 2023, the Issuer’s subsidiaries – (i) Polenergia Farma Wiatrowa Namysłów Sp. z o. o., developing the Szprotawa I photovoltaic farm project with a total installed capacity of 47 MWp (“Project I” or “Szprotawa I Photovoltaic Farm”) and (ii) Polenergia Farma Fotowoltaiczna 16 Sp. z o. o., developing the Szprotawa II photovoltaic farm project with a total installed capacity of 20 MWp (“Project II” or “Szprotawa II Photovoltaic Farm”) concluded agreements with P&Q Sp. z o. o. with its registered office in Białystok (“Contractor”). One of them regards the construction of the Szprotawa I Photovoltaic Farm (“EPC I Agreement”), the other one – the construction of the Szprotawa II Photovoltaic Farm (“EPC II Agreement”) (hereinafter collectively, the EPC I Agreement and the EPC II Agreement are referred to as the “EPC Agreements”).

Project I won the regular RES auction No. AZ/2/2022 conducted by the President of the Energy Regulatory Office on December 9, 2022, about which the Issuer informed in current report No. 39/2022 of December 20, 2022. EPC I Agreement is to be performed in by June 30, 2025.

Project II won the regular RES auction No. AZ/7/2023 conducted by the President of the Energy Regulatory Office on November 22, 2023, about which the Issuer informed in current report No. 55/2023 of November 27, 2023. The EPC II Agreement is to be performed in by June 30, 2025.

The EPC Agreements concern the Contractor’s performance of comprehensive assembly and electrical works for the Szprotawa I and Szprotawa II Photovoltaic Farms, including: delivery and assembly of supporting structures for photovoltaic modules, assembly of photovoltaic modules and inverters, delivery and assembly of LV/MV power stations, delivery and installation of LV and MV cables, construction of a 20/110 kV subscriber station along with the delivery of equipment, delivery and installation of a HV cable line with a fiber optic network. EPC Agreements do not cover the delivery of photovoltaic modules and inverters.

The terms of the EPC Agreements do not differ from standard market conditions for this type of contracts. Their provisions concern in particular: obligations of the parties, remuneration and settlement rules, liability, including its limitation, guarantee of proper performance of the contract, guarantee of removal of defects and faults.

The total value of the EPC Agreements is approximately PLN 89 million.

Legal basis: art. 17 section 1 of the Regulation (EU) No 596/2014 of the European Parliament and of the Council on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (Journal of Laws EU L. of 2014, No. 173, page 1, as amended).
