CONCLUSION OF MASTER AGREEMENT FOR THE STRZELINO PHOTOVOLTAIC FARM PROJECT

The Management Board of the company operating under the business name of Polenergia S.A. (the “Issuer”) hereby reports that on 23 December 2022, the Issuer’s subsidiary – Polenergia Obrót 2 Sp. z o.o., developing the Strzelino photovoltaic farm project with a total installed capacity of 45.2 MWp (“Project” or “Strzelino Photovoltaic Farm”) entered into an agreement pertaining to the construction of the Strzelino Photovoltaic Farm (“EPC Agreement”) with P&Q Sp. z o.o. with its registered office in Białystook (“Contractor”). The project won ordinary RES auction No. AZ/12/2021 carried out by the President of the Energy Regulatory Office on 9 December 2021, and the Issuer reported about it in current report No. 49/2021. The EPC Agreement is going to be performed by 31 December 2023.

The EPC Agreement refers to the performance, by the Contractor, for the Strzelino Photovoltaic Farm, of comprehensive assembly and electrical work encompassing: supply and assembly of support structures for photovoltaic modules, assembly of photovoltaic modules and inverters, delivery and assembly of low and medium voltage power stations, delivery and assembly of low voltage and medium voltage cables, construction of 20/110 kV electrical station along with supply of devices, delivery and assembly of the high voltage cable line and the fibre optic network. The EPC Agreement does not encompass the delivery of photovoltaic modules and inverters.

The terms of the EPC Agreement do not differ from the standard market terms for the agreements of this type. Its provisions refer in particular to: obligations of the parties, remuneration and terms of settlement, liability, including limitation of liability, performance bond for the agreement, defect removal guarantee.

The value of the EPC Agreement amounts to approx. PLN 68 million.

Legal basis: Art. 17(1) of Regulation of the European Parliament and Council (EU) No. 596/2014 on market abuse and repealing Directive 2003/6/EC of the European Parliament and Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (Journal of Laws of the European Union L of 2014, No. 173, p. 1 as amended).
