EXECUTION OF A CONTRACT FOR THE SUPPLY OF MODULES FOR THE RAJKOWY PHOTOVOLTAIC FARM PROJECT

The Management Board of the company Polenergia S.A. („Issuer”) hereby announces that on 26 August 2025, the Issuer’s subsidiary Polenergia Farma Fotowoltaiczna 2 sp. z o. o (“PV2“), developing the Rajkowy photovoltaic farm project with a total installed capacity of 35 MWp (“Project“), entered into a contract with Jinko Solar Denmark ApS (“Supplier“) for the supply of photovoltaic modules for the Project (“Contract“).

The contract covers the sale of photovoltaic modules manufactured by the Supplier in the quantity required for the Project. The terms of the Contract do not deviate from standard arm’s length contracts of this type. The contractual provisions relate in particular to: the obligations of the parties, remuneration and settlement rules, liability, including limitation thereof, guarantee for the removal of defects and faults in the delivered modules. The Contract does not apply to the supply of inverters. The Contract will be completed in the first quarter (Q1) of 2026.

The value of the Contract is approximately EUR 3 million.

Supplier’s payment guarantee

According to the Contract for the supply of modules, the Issuer may be required to provide payment guarantee in the form of a corporate guarantee (“PCG“) in case it exercises its option to defer payment of PV2’s monetary obligations under the Contract. The PCG issued by the Issuer will cover 95% of the value of PV2’s obligation to the Supplier for liabilities arising between 1 December 2025 and 31 January 2026.

The execution of the Contract means the achievement of a significant milestone in the development of the Project.
