ISSUER’S SUBSIDIARY ENTERS INTO A vPPA AGREEMENT

The Management Board of Polenergia S.A. ( “Issuer”) announces that on 27 January  2026, as part of the implementation of the Development Program, the Issuer’s subsidiary, i.e. Farma Wiatrowa Bądecz sp. z o.o. (wind farm) (“RES-Originating Energy Producer”) entered into a 15-year virtual power purchase agreement (“vPPA” or “Agreement”) with a global company.

The vPPA agreement is a financial contract covering 100% of the energy generated by the RES-Originating Energy Producer, a wind farm with an installed capacity of 48.3 MW (“Facility”). The agreement also covers the sale by the Facility to the Buyer of environmental attributes, understood as any environmental benefits resulting from renewable electrical energy, currently being Guarantees of Origin. The RES-Originating Energy Producer plans to start generating energy by the end of the third quarter of 2029 at the latest.

The Issuer estimates that the vPPA agreement secures the total revenue of the project from the sale of electricity and Guarantees of Origin throughout the entire term of the Agreement at the anticipated level of approximately PLN 600,000,000 – 800 000 000 net.

The vPPA agreement contains provisions consistent with industry standards. The commencement of commercial operations by the RES-Originating Energy Producer on the commercial operation date (COD) depends on the final investment decision being made and all necessary administrative permits being in place.

The signing of a long-term energy sales agreement with a reputable customer is in line with the Polenergia Group’s Strategy for the years 2025-2030, as announced by the Issuer in its current report No. 15/2025 of 25 March 2025.
