MEETING THE CONDITION SUSPENSE REGARDING THE ENTRY INTO FORCE OF THE NEW PACKAGE OF PPA and PPA+ AGREEMENTS

The Management Board of the company under the name Polenergia S.A. (“Issuer”), with reference to current report No. 57/2023 of November 30, 2023 regarding the conclusion by the Issuer’s subsidiary – Polenergia Obrót S.A. (“POLO”) and McDonalds Polska sp. z o.o. with its registered office in Warsaw (“McDonalds’s”) of a new conditional long-term energy sales agreement (PPA) included in the new package of PPA and PPA + agreements (“PPA and PPA+ Package”) informs that on December 1, 2023 it received information about the fulfillment of condition precedent, i.e. signing the Package of PPA and PPA+ agreements by POLO, McDonald’s and the minimum number of McDonald’s franchisees (“Other Buyers”) indicated in the Package of PPA and PPA+ agreements.

Due to the signing of the Package of PPA and PPA+ agreements by POLO, McDonald’s and the minimum number of Other Buyers before the deadline set for fulfilling the condition precedent, i.e. by December 4, 2023, the Package of PPA and PPA+ agreements enters into force on December 5, 2023. The period of sale of electricity and guarantees of origin under the Package of PPA and PPA+ agreements starts on January 1, 2024.
