NOTIFICATION OF RECEIPT OF THE SHAREHOLDERS’ STATEMENT

The Management Board of Polenergia S.A. with its registered office in Warsaw (the “Issuer“) hereby informs that on 3 August 2026 the Issuer received a statement: 

1. Allianz Polska Otwarty Fundusz Emerytalny managed and represented by PTE Allianz Polska S.A. with its registered office in Warsaw, 

      2. Nationale-Nederlanden Otwarty Fundusz Emerytalny represented by Nationale-Nederlanden Powszechne Towarzystwo Emerytalne S.A. with its      registered office in Warsaw,  

(hereinafter jointly referred to as the “Funds“), 

according to which, in the opinion of the Funds, as at 31 July 2026, the price proposed in the tender offer for the sale of the Issuer’s shares of 10 July 2026 does not reflect the fair value of the Issuer’s shares. 

The Issuer attaches the content of the statement. 

Legal basis: Article 17(1) of Regulation (EU) No 596/2014 of the European Parliament and of the Council on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC, as amended.
