ACQUISITION OF THE COMPANY SHARES

Polish Energy Partners Spółka Akcyjna (‘Company’) hereby informs that on 28th June 2011 the Company received a notification, in accordance with which Generali OFE (‘Generali’) acquired the Company shares, as a result of which as of 27th June 2011 Generali holds 3 845 998 shares of the Company, representing 18.04% of the total number of the Company shares and 18.04% of the total number of votes at the Company General Assembly. Before the said transaction, resulting in an increase of Generali’s share in the Company by over 2% compared to the value previously notified, Generali held 3 842 198 shares of the Company, representing 18.03% of the Company’s share capital and entitling to 3 842 198 votes at the Company General Assembly, i.e. 18.03% of the total number of votes at the Company General Assembly. According to the information submitted to the Company, over the next 12 months Generali may acquire or dispose of the Company shares depending on the market conditions and the Company’s financial standing.
