THE ISSUER’S SUBSIDIARY TERMINATES THE CO-FINANCING AGREEMENT

The Management Board of Polenergia S.A. (the “Issuer”), with reference to current reports No. 27/2023 of 27 June 2023 and No. 21/2024 of 8 April 2024, hereby reports that on 24 August 2026, the agreement between the Issuer’s subsidiary – Polenergia H2HB Nowa Sarzyna sp. z o.o. (“Beneficiary”) and the National Fund for Environmental Protection and Water Management (“the Fund”) for co-financing of the project “Construction of publicly available hydrogen filling stations in Rzeszów and Nowa Sarzyna by Polenergia H2Hub Nowa Sarzyna Sp. z o. o. ” (“Agreement”) was terminated.

According to the Agreement, the total amount of co-funding in the form of an envisaged subsidy was PLN 20,000,000 which would correspond to ca. 43% of the eligible costs of the project. No funds have been paid out under the Agreement.

The Agreement was terminated by mutual agreement between the Beneficiary and the Fund in which the parties confirmed the lack of mutual claims that would result from the performance of the Agreement.

The above measure is part of the Polenergia Group’s strategy until 2030 assuming a gradual phasing out of the Group’s investments in the hydrogen area.
